The Valued Customer Program Terms and Conditions

The Valued Customer Program (the “Program”) is designed to help you (“Customer”) get the most out of your patronization of Upton Tea Imports. We reward you for doing the things you already do: shop on www.uptontea.com (the “Site”) and refer friends to Upton Tea Imports. Best of all, you can redeem the Reward Points you earn to receive discounts off your order.

The following terms and conditions (these “Valued Customer Program Terms and Conditions”) contain important information regarding the Program. Please read the following Valued Customer Program Terms and Conditions carefully. The Site Terms of Use are fully incorporated into the Valued Customer Program Terms and Conditions. You agree to the Valued Customer Program Terms and Conditions and the Site Terms of Use by enrolling in the Program. You enroll in the Program by signing up for an account on the Site. These Valued Customer Program Terms and Conditions and Site Terms of Use are a binding agreement between you and Upton Tea Imports. If you do not agree to the Valued Customer Program Terms and Conditions or the Site Terms of Use, do not enroll in the Program. In the event of any conflict between the Site Terms of Use and the Valued Customer Program Terms and Conditions, the Valued Customer Program Terms and Conditions control.

To the extent permitted by law, Upton Tea Imports reserves the right to change, modify, and/ or eliminate the Valued Customer Program and/ or these Valued Customer Program Terms and Conditions or any portion of them at any time at its sole discretion. Any changes or modifications will be effective immediately upon posting any changes or modifications to the Site, and you waive any right to receive specific notice of any such changes, modifications, or eliminations, so it is important to check the Valued Customer Program Terms and Conditions periodically. Participation in the Program or redemption of Rewards is considered acceptance of these Valued Customer Program Terms and Conditions and any modified terms included therein.

Program Period

This Program will continue until terminated, suspended, modified, or converted to another rewards program by Upton Tea Imports (the "Program Period").

Eligibility

To become a Customer of the Program, you must be 18 years of age or older. To enroll in the Program, you simply need to have registered for an online account located here. You do not need to have a subscription to earn Rewards in the Program. Only retail consumers may register to become a Customer of the Program, and only one account for each individual is permitted. There is no membership fee to become a Customer of the Program.

Earning Upton Tea Imports Rewards

Once you have become a Customer, you can begin earning Upton Tea Imports Reward Points (“Rewards”). Additional details can be found here: https://www.uptontea.com/ValuedCustomerProgram.aspx. Upon notice, Upton Tea Imports reserves the right to suspend, terminate, revalue, or modify, without liability to Customers, all or part of the Rewards’ value structure and offers and any merchandise or service. Notice will be provided by posting an update on the Site. Upton Tea Imports reserves the right to adjudicate all Rewards discrepancies in its sole discretion, and the Customers agree to abide by any such adjudication. You can check your Rewards balance on your account page.

Upton Tea Imports Rewards Redemption

Rewards are redeemable for a discount on your order. https://www.uptontea.com/ValuedCustomerProgram.aspx. You can redeem your Rewards during the checkout process. Rewards cannot be purchased and are not transferable. You cannot redeem Rewards for more than the total amount of your purchase. Rewards are not redeemable for cash.

Upton Tea Imports Rewards Balance

You can always check your point balance in your account page.

Upton Tea Imports Rewards Expiration

Reward Points will expire after 12 months of inactivity. You must complete a Valued Customer activity to keep your Valued Customer account active. Upton Tea Imports will not replace lost, stolen, or expired Rewards.

Rejection of Rewards

Rewards may be rejected at the discretion of Upton Tea Imports, including but not limited to for the following reasons:

  • Your Reward Points may be rejected if the person you referred is an existing customer.
  • Your Reward Points may be rejected if you have exceeded the allowable frequency. To see frequency caps on purchases, sign in to your account. From the 'My Account' section, navigate to 'Valued Customer Program' using the tabs on the left. In this section, select the ’Earn Points’ tab to see how often Reward Points can be earned.
If you have questions regarding rejected Reward Points, please contact Customer Service. Our Customer Service team is available to assist Monday-Friday, 9 a.m. to 5 p.m. Eastern Time.

Reward Conditions

Rewards may be taxable, depending on the value of the item and the federal, state, and local tax laws applicable to the Customer. Customers are solely responsible for reporting such items on their tax returns and paying any associated tax liability. Customers may not assign or transfer any Rewards. Upton Tea Imports makes no warranty in any respect as to any Rewards, merchandise or service available within the Program.

Unauthorized Access

Upton Tea Imports is not responsible for any unauthorized access of your Account or any unauthorized use of any Rewards associated with your Account. If you believe any such unauthorized access or use has occurred, you should notify Customer Service at (800) 234-8327 or cservice@uptontea.com. Upon receipt of such notification, we will help you to set up a new account and transfer your existing Rewards (if any).

Privacy

The information we collect in connection with the Valued Customer Program will be treated in compliance with our Privacy Policy.

Communications

You agree to receive communications from Upton Tea Imports, including emails and notifications, regarding the Program and concerning offers and promotions that may be of interest to you. You may opt out of receiving communications by clicking the link on the bottom of each email. You are responsible for keeping your contact information up-to-date. Upton Tea Imports is not responsible for communications lost due to change of your address or contact information.

Termination by Upton Tea Imports

Upton Tea Imports may, in its sole and absolute discretion, cancel, change, suspend, or modify any aspect of the Program and/Upton Tea Imports may, in its sole and absolute discretion, terminate or suspend any Customer’s participation in the Program for breach of these Valued Customer Program Terms and Conditions, or for taking any actions that are inconsistent with the intent of these Valued Customer Program Terms and Conditions. Upton Tea Imports reserves the right at its sole discretion to prohibit any Customer from participating in any aspect of the Program if Upton Tea Imports deems or suspects that such Customer has engaged in or has attempted to engage in any of the following: (a) acting in violation of these Valued Customer Program Terms and Conditions; or (b) damaging, tampering with, or corrupting the operation of the Program or Site; or (c) acting with intent to annoy, harass or abuse any other person; or (d) any fraudulent, potentially fraudulent, behavior or activity. Any decision Upton Tea Imports makes relating to termination or suspension of any Customer participation in the Program shall be final and binding in all respects. Upton Tea Imports shall be the sole determiner in cases of suspected abuse, fraud, or breach of these Valued Customer Program Terms and Conditions or intent of these Valued Customer Program Terms and Conditions.

Cancellation of Your Membership in the Program

You may cancel your membership in the Program at any time by contacting Customer Service at (800) 234-8327 or cservice@uptontea.comto delete your account. If you cancel your membership in the Program, you will lose all accumulated Rewards.

Release

Except for willful misconduct or gross negligence on the part of Upton Tea Imports, by participating in the Program, Customers release Upton Tea Imports, its parent company, subsidiaries, affiliates, suppliers, advertising and promotions agencies and their respective directors, officers, employees, and agents (collectively, “Released Parties”) from liability for any loss, harm, damages, cost or expense, arising out of or in any way connected to the Program or the use of any Rewards.

Indemnification

Customers agree to indemnify, defend and hold Upton Tea Imports and its representatives, employees, and agents harmless from and against any and all third party claims, demands, liabilities, costs or expenses, including attorney’s fees and costs, arising from, or related to any breach by Customer of any of these Valued Customers’ Program Terms and Conditions or any violation by Customer of applicable law.

Governing Law

The laws of the State of California shall govern these Valued Customers’ Program Terms and Conditions. Customer hereby expressly consents to exclusive jurisdiction and venue in the courts located in California for all matters arising in connection with these Valued Customers’ Program Terms and Conditions or Customer’s participation in the Program.
